This privacy policy (“Privacy Policy”) provides detail on how Nipendo Ltd. (“Company”, “we”, “us”, or “our”) collects, processes and uses data from (collectively hereinafter, “you”): (i) individuals browsing and visiting our website available at: www.nipendo.com (“Website”) or other webpages operated by us; (ii) customers that use our cloud management platform (“Customer”) either by our web application or mobile application (“Nipendo App” or “App”); or (iii) Customer’s suppliers which the Customer conducting business with (“Customers Suppliers”).
This Privacy Policy may be updated from time to time and therefore we ask you to check back periodically to read the most updated Privacy Policy. The last and updated version is reflected in the “Last Updated” heading above. In the event of a material change we will make best efforts to provide a notification through the Website and the App.
1) LAWFULNESS
We have included below information about which data is processed, how we process and use your data, but before, we would like to explain the lawful basis for which we do so:
(i) Where a Customer or Customer’s Supplier register to any of our services or App, we process certain Personal Data, such as name and email, in order to perform our contract;
(ii) When you access our Website, we collect certain Online Identifiers which we have a legitimate interest or consent in processing such data, some of this data is processed by our third party partners, all as detailed below; or
(iii) We will also process certain Personal Data where you have provided us with consent to do so, if and when applicable.
2) INFORMATION WE COLLECT
Depending on your interaction with us (meaning, if you are a visitor, Customer or Customer’s Supplier), we may collect two types of data from you:
- Non Personal Data: this data is non-identifiable information which may be made available or gathered through your use of the Services. To clarify, we are not aware of your identity due to such information (“Non-Personal Data”).
- Personal Data: individually identifiable information, namely information that identifies an individual or may with reasonable effort identify an individual (“Personal Data”).
In addition, if we combine Personal Data with Non-Personal Data, the combined data will be treated as Personal Data for as long as it remains combined.

3) HOW WE COLLECT INFORMATION
Depending on the nature of your interaction with the Services, we may collect information as follows:
- Automatically – we may use cookies (as elaborated in the Cookies Section above) to gather some information automatically.
- Provided by you voluntarily – we will collect information if and when you choose to provide us with the information, such as through a registration process, contact us communications, to receive a whitepaper, etc.

When you access or use the App or Website we may use “cookies” (or similar technologies), which store certain information on your device (i.e., locally stored) and which will allow us to customize the use, enables functionality, etc. Third parties may collect data through these cookies, therefore we recommend you review our cookie policy carefully:

We share Personal Data only under the following limited circumstances:
Third party service providers– We share your information with trusted partners and third parties who assist us in operating and providing the services and conducting our business, such as our servers, account maintenance, technology services, marketing partners to provide you with service offers you may be interested in, etc.
Law Requirement– We will fully cooperate with any law enforcement authorities or court order requesting or directing us to disclose the identity, behavior or digital content of any user suspected to have engaged in illegal or infringing behavior and thereby we may also release your information when we believe release is appropriate to comply with the law.
Policy Enforcement– We will share your information, solely to the extent needed to enforce our policies including investigations of potential violations thereof or to detect, prevent, or take action regarding illegal activities or other wrongdoing, suspected fraud or security issues.
Company’s Rights– We will share your information, solely to the extent needed to establish or exercise our rights to defend against legal claims;
Third Party Rights– We will share your information, solely to the extent needed to prevent harm to the rights, property or safety of us, our users, yourself or any third party or for the purpose of collaborating with law enforcement agencies or in case we find it necessary in order to enforce intellectual property or other legal rights; or
Corporate Transaction– We may share Personal Data, in the event of a corporate transaction (e.g. sale of a substantial part of our business, merger, consolidation or asset sale). In the event of the above, our affiliated companies or acquiring company will assume the rights and obligations as described in this Privacy Policy.
6) DATA RETENTION
We reserve the right to retain any Personal Data for as long as reasonably necessary in order to: (i) fulfill all the services described herein; (ii) defense or assertion of legal claims and liability; and (iii) comply with applicable law.

We provide you with the ability to exercise certain choices and controls in connection with our treatment of your Personal Data, depending on your relationship with us. Where we are not able to comply with your request, we will endeavor to explain the reasoning for this and inform you of your rights, including the right to complain to the supervisor authority.
Data privacy and related laws in your jurisdiction may provide you with different or additional rights related to the data we collect from you, which may also apply.
8) HOW WE PROTECT INFORMATION
We take great care in implementing and maintaining the security of the Website, App or service and your Personal Data. We employ industry standard procedures and policies and implemented technical and administrative security measures to ensure the safety of your Personal Data and prevent unauthorized access or use of any such information. We adopted technical organizational security measures as detailed here: www.nipendo.com/security. The Security Policy also discloses our practice when transferring data, however, please note that if you are a resident of the EEA we will take appropriate measures to ensure that your Personal Data receives an adequate level of data protection upon its transfer outside of the EEA or, if you are a resident of a jurisdiction where transfer of your personal data requires your consent, by using the Nipendo App or Website you provide us with consent for such transfer of your data.
9) USE OF WEBSITE BY MINORS
Our services are not direct or intended for children or any person under the age of 18.
